These Terms of Service ("Terms") govern your access to and use of Capavista's websites, products, and related services (the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Capavista provides AI-assisted hiring decision support, including resume analysis, role alignment, skill assessments, evidence-backed rankings, shortlists, and related reporting. Capavista is a decision-support tool. It does not make hiring decisions, extend employment offers, or replace recruiter or hiring-manager judgment. A human in your organization remains responsible for every employment decision.
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for safeguarding account credentials, for activity under your account, and for ensuring that users you invite comply with these Terms.
Paid plans are billed in advance on a recurring basis as shown at checkout or in your account. Fees are generally non-refundable except as described in the Refund Policy below or as required by law. You authorize us (and our payment processors) to charge your selected payment method for applicable fees and taxes. Plan features, usage limits, and pricing may change with notice for future billing periods.
If you are a new paying customer and are not satisfied with the Services, you may request a full refund of your initial subscription payment within 15 days of the original purchase date.
To request a refund, contact us through Contact us and include your account email and purchase details. Approved refunds are issued to the original payment method. After a refund, we may suspend or terminate access to paid features for the refunded subscription.

You retain ownership of resumes, job descriptions, notes, assessment content you provide, and other materials you submit ("Customer Content"). You grant Capavista a limited license to host, process, transmit, display, and create derivative outputs from Customer Content solely to provide and improve the Services for you.
You represent that you have all rights and consents needed to upload and process Customer Content, including candidate personal data, and that your use complies with applicable employment, privacy, and anti-discrimination laws.

AI-generated analysis, scores, assessments, explanations, and reports may be incomplete or incorrect. You must independently review outputs before relying on them. Capavista does not guarantee that any candidate is suitable for a role, that rankings are free from error, or that the Services will meet every hiring objective.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPAVISTA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Each party may receive confidential information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
Capavista and its licensors own the Services, software, branding, documentation, and all related intellectual property. Except for the limited right to use the Services under your subscription, no rights are granted to you.
The Services may integrate with or depend on third-party providers (for example payment processors or AI infrastructure). Your use of third-party services may be subject to their terms. Capavista is not responsible for third-party services outside our reasonable control.
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay fees, or if we discontinue the Services. Upon termination, your license ends and we may delete or retain Customer Content as described in the Privacy Policy and as required by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPAVISTA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO CAPAVISTA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will defend and indemnify Capavista against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Customer Content, your hiring decisions, your breach of these Terms, or your violation of law or third-party rights.
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless mandatory local law provides otherwise. Courts located in Delaware will have exclusive jurisdiction over disputes, except where applicable law requires otherwise.
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use after the effective date constitutes acceptance of the revised Terms, except where additional consent is required by law.
