Terms of Service

These Terms of Service ("Terms") govern your access to and use of Capavista's websites, products, and related services (the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these Terms.

If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Services

Capavista provides AI-assisted hiring decision support, including resume analysis, role alignment, skill assessments, evidence-backed rankings, shortlists, and related reporting. Capavista is a decision-support tool. It does not make hiring decisions, extend employment offers, or replace recruiter or hiring-manager judgment. A human in your organization remains responsible for every employment decision.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for safeguarding account credentials and for activity under your account.

3. Subscriptions, billing, and taxes

Paid plans are billed in advance on a recurring basis as shown at checkout or in your account. Fees are generally non-refundable except as described in the Refund Policy below or as required by law. You authorize us and our payment processors to charge your selected payment method for applicable fees and taxes.

4. 15-day refund policy

If you are a new paying customer and are not satisfied with the Services, you may request a full refund of your initial subscription payment within 15 days of the original purchase date.

To request a refund, contact us through /contact-us and include your account email and purchase details. Approved refunds are issued to the original payment method. After a refund, we may suspend or terminate access to paid features for the refunded subscription.

This refund policy does not apply to:

  • Renewals after the initial 15-day window
  • Enterprise or custom contracts with separate commercial terms
  • Abuse, chargeback fraud, or material breaches of these Terms
  • Fees expressly designated as non-refundable at purchase

Nothing in this section limits any non-waivable consumer rights that may apply in your jurisdiction.

5. Customer content and licenses

You retain ownership of resumes, job descriptions, notes, assessment content you provide, and other materials you submit ("Customer Content"). You grant Capavista a limited license to host, process, transmit, display, and create derivative outputs from Customer Content solely to provide and improve the Services for you.

You represent that you have all rights and consents needed to upload and process Customer Content, including candidate personal data, and that your use complies with applicable employment, privacy, and anti-discrimination laws.

6. Acceptable use

You agree not to:

  • Use the Services for unlawful, discriminatory, or deceptive hiring practices
  • Attempt to reverse engineer, scrape, overload, or disrupt the Services
  • Bypass usage limits, security controls, or access restrictions
  • Upload malware or content you do not have rights to process
  • Use outputs to make fully automated employment decisions without meaningful human review where prohibited by law
  • Misrepresent Capavista recommendations as independent verification of a candidate's identity, credentials, or background check status

7. AI outputs and disclaimers

AI-generated analysis, scores, assessments, explanations, and reports may be incomplete or incorrect. You must independently review outputs before relying on them.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPAVISTA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Intellectual property

Capavista and its licensors own the Services, software, branding, documentation, and all related intellectual property. Except for the limited right to use the Services under your subscription, no rights are granted to you.

11. Third-party services

The Services may integrate with or depend on third-party providers. Capavista is not responsible for third-party services outside our reasonable control.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay fees, or if we discontinue the Services.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPAVISTA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO CAPAVISTA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You will defend and indemnify Capavista against claims arising from Customer Content, your hiring decisions, your breach of these Terms, or your violation of law or third-party rights.

15. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless mandatory local law provides otherwise.

16. Changes

We may update these Terms from time to time. Continued use after the effective date constitutes acceptance of the revised Terms, except where additional consent is required by law.
